Please read these Terms of Service ("Terms") carefully. They form a binding legal agreement between you ("you" or "User") and ProjectOutshine ("ProjectOutshine," "we," or "us") regarding your use of our website and services (the "Service"), which includes our online auctions, estate sale services, purchasing our e-book, and registering for training events. By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and User Accounts

You must be at least 18 years of age to use the Service. By contacting us or making a purchase, you represent that you meet this requirement. While we may not require traditional user accounts for all services, any registration or personal information provided must be accurate. You are responsible for maintaining the confidentiality of any access credentials you receive (e.g., for event access or e-book downloads).

2. Payments and Refunds

Our Service includes the sale of a digital e-book for a one-time fee and in-person training events for a per-person fee. By purchasing, you authorize us to charge your chosen payment method via our third-party payment processor, Stripe, or other designated services. Our refund policies for e-book purchases and event registrations are detailed in our Refund Policy, which is incorporated into these Terms by reference.

For estate sales or collection purchases, specific payment and payout terms will be detailed in separate agreements and contracts.

3. User Conduct

By using ProjectOutshine's Service, you agree to abide by the following guidelines. Failure to do so may result in refusal of service or termination of any ongoing engagement. You agree not to use the Service to:

  • Post or transmit any content that is unlawful, hateful, harassing, defamatory, or obscene.
  • Engage in spamming, phishing, or distributing malware.
  • Infringe upon the intellectual property rights of others.
  • Impersonate any person or entity or falsely state your affiliation with a person or entity.
  • Share purchased e-book content or event access credentials with others. Each purchase/registration grants access to a single user/attendee.
  • Violate any applicable local, state, national, or international law.
  • Disrupt the integrity or performance of the Service or its components.

We reserve the right to refuse service or terminate any agreement for any violation of these guidelines, or for any conduct we deem harmful to our business interests.

4. Intellectual Property

All content provided on the Service, including the e-book, website content, graphics, logos, videos, and materials provided during training events, is the property of ProjectOutshine or its licensors and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service and its content for your personal, non-commercial, and educational use only (e.g., for applying e-book knowledge to your own business). You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as expressly permitted by ProjectOutshine.

5. Partnership Opportunities

Attendees of our in-person training events may become eligible for joint venture partnership opportunities on consignments located by ProjectOutshine. The terms and conditions for any such partnership will be outlined in a separate, formal agreement between ProjectOutshine and the eligible individual. Eligibility does not guarantee a partnership, and ProjectOutshine retains sole discretion in entering into any joint venture.

6. Disclaimers and Limitation of Liability

THE SERVICE AND ALL CONTENT (INCLUDING THE E-BOOK AND EVENT MATERIALS) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE OR THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT. THE CONTENT PROVIDED IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL, LEGAL, INVESTMENT, OR ANY OTHER TYPE OF PROFESSIONAL ADVICE. YOUR USE OF THE SERVICE AND RELIANCE ON ANY INFORMATION PROVIDED IS SOLELY AT YOUR OWN RISK.

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS OR LEVEL OF PROFIT FROM THE USE OF OUR SERVICES, E-BOOK, OR TRAINING. YOUR SUCCESS DEPENDS ON YOUR OWN EFFORTS, SKILLS, AND MARKET CONDITIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROJECTOUTSHINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PROJECTOUTSHINE FOR THE SPECIFIC SERVICE (E-BOOK OR EVENT) FROM WHICH THE LIABILITY ARISES.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, USA, without regard to its conflict of law principles.

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in Texas, rather than in court. You agree to waive any right to a jury trial and to participate in any dispute as an individual, and you waive your right to participate in a class action lawsuit.

8. Termination

You may cease using the Service at any time. We reserve the right to suspend or terminate your access to the Service, or any agreement for services, at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is detrimental to our business interests, including but not limited to, sharing purchased content, or engaging in dishonest or illegal activities.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
